The merger, mooted in December, was to see Leaf Clean acquire all of the issued share capital of Trading Emissions, a closed-end investment firm that also specialises in carbon credits.
But the two groups have announced that the resolution to approve the scheme was not passed by the requisite majority of 75%.
“Since the resolution was not passed, the scheme has lapsed and the merger will not proceed,” they say.
